Cuepoint — Terms of Service

1. Acceptance

By creating an account or using Cuepoint ("Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description

Cuepoint is a music production feedback platform that allows users to upload audio tracks, stems, revisions, and voice notes, leave timestamped comments, record review decisions, create client preview links, run technical Track Analysis, request optional AI Revision Guidance, and collaborate with other users within projects.

3. Accounts

You must provide a valid email address and password to register.
You are responsible for maintaining the security of your account credentials.
You must be at least 16 years old to use the Service.
One person may not maintain more than one account.

4. User Content

You retain ownership of all audio files, waveforms, comments, review decisions, public share comments, analysis inputs and outputs, and related project materials ("Content") you upload or post.
By uploading Content, you grant Cuepoint a limited, non-exclusive license to store, process, and serve that Content solely for the purpose of operating the Service.
You must not upload Content that you do not have the right to share.
You must not upload Content that is illegal, harmful, or infringes on third-party rights (including copyrights).
When you delete a project, all its tracks, stems, revisions, voice notes, audio files, waveforms, comments, public share comments, review decisions, and client preview links are permanently deleted from our servers and storage. This action is irreversible.
When you delete your account, all projects you own are deleted as described above. Comments you posted in other users' projects are anonymized (attributed to "deleted user") but not removed, as they form part of the collaborative discussion. Review decisions and client preview links tied to your account are removed.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose.
Upload malware, viruses, or any harmful code.
Attempt to gain unauthorized access to other users' accounts or data.
Abuse, harass, or threaten other users.
Use automated tools to scrape or overload the Service.

Fair use

Cuepoint is intended for private audio collaboration, production feedback, revision review, and client approval workflows. You may not use Cuepoint as a public file hosting service, public streaming service, backup archive, CDN, or general file distribution platform. Public preview links are intended for limited review and approval, not broad public distribution. We may temporarily limit uploads, downloads, playback link generation, public preview links, or account access when usage is automated, abusive, illegal, security-sensitive, unusually high compared with normal collaboration use, or likely to create material service instability or cost exposure. When practical, we will contact you before applying non-emergency limits.

6. Projects and Collaboration

Project owners control membership and may invite or remove collaborators.
All project members can view tracks, stems, revisions, comments, review summaries, and project membership within that project.
Removing a member revokes their access to the project immediately.
Pro project members may create public client preview links for standalone tracks or stem groups. A preview link allows anyone with the active link, and any required password or access token, to stream the linked audio, view limited track metadata, and leave timestamped public share comments and replies without a Cuepoint account.
Public share comments are visible to recipients of the same active preview link and to members of the related project. Project members may reply to public share comments from inside Cuepoint, and those replies may be visible on the public preview link.
You are responsible for deciding who receives preview links. You may revoke an active preview link or set password and expiry controls where available, but anyone who had access before revocation may already have viewed, streamed, or commented on the shared Content.
Revoking, expiring, or removing a preview link stops public access to that link, but does not automatically delete historical public share comments from the project. Project owners and members should treat public share comments as part of the project feedback history unless the related project or track is deleted.

7. Paid Subscriptions

Cuepoint offers a free tier and a paid Pro subscription. Pro unlocks additional features and higher limits, including WAV uploads, stems, revisions, review decisions, voice notes, client preview links, and AI Agent Analysis usage, as described on the pricing page.
Payments are processed by Stripe. By subscribing, you agree to Stripe's Terms of Service.
Pro subscriptions are billed monthly or annually in advance. The price, currency, taxes, and billing interval shown at checkout apply to your subscription.
You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period — you retain Pro access until then.
We do not offer refunds for partial billing periods. If you believe you were charged in error, contact us at hello@cuepoint.fm.
If payment fails, we will retry automatically. If payment remains unsuccessful, your plan will be downgraded to Free after the retry period ends.
We reserve the right to change pricing with at least 30 days' notice to active subscribers. Price changes do not affect the current billing period.

8. Intellectual Property

The Service itself (code, design, branding) is the property of Cuepoint.
Nothing in these Terms transfers intellectual property rights in user-uploaded Content to Cuepoint beyond the limited license in Section 4.

9. Termination

If you have an active or past-due paid subscription, you must cancel it through the billing portal before deleting your account. Account deletion is blocked while a subscription is active or past due.
You may delete your account at any time from your profile settings. Account deletion requires password confirmation and permanently removes: all projects you own (with their tracks, stems, revisions, voice notes, audio files, waveforms, comments, review decisions, and client preview links), review decisions and client preview links you created in other users' projects, your project memberships, authentication tokens, notification preferences, and pending invitations you sent. Comments you posted in other users' projects are anonymized. This action is irreversible.
We may suspend or terminate accounts that violate these Terms without prior notice.
Upon termination by us, your data is handled in the same manner as voluntary account deletion.

10. Disclaimer

The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation.

Track Analysis and AI Revision Guidance are informational tools intended to support creative review. They may be incomplete, inaccurate, or unsuitable for a particular artistic, technical, commercial, legal, or professional purpose. You remain responsible for evaluating and deciding whether to rely on any analysis, finding, recommendation, or generated guidance.

11. Limitation of Liability

To the maximum extent permitted by law, Cuepoint shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

12. Changes

We may update these Terms from time to time. We will notify registered users of material changes via email at least 14 days before they take effect, unless a shorter period is required for legal, security, or abuse-prevention reasons. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you may stop using the Service and delete your account before they take effect.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Poland. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Kraków, Poland, unless mandatory consumer protection law provides otherwise.
